What if a client just will not do the work?
Then they will not, and you will know within a week rather than at the next session. Uploop makes the work small, puts it where they already are, and tells you early when somebody is drifting. It does not make anybody do anything, and you would notice if we claimed otherwise.
Do my clients have to download anything?
Only if they want to. Everything works from a link in a browser. There is also an Uploop app, where they do their check-ins and assignments, get reminded, and join your sessions with one tap. It carries your practice, not us.

The things worth knowing about the money.
What happens when I pass ten clients on Starter?
Nothing breaks and nothing is deleted. You are asked to move to Pro before adding the eleventh, and everyone already on your roster stays exactly as they are.
What does it cost to take a payment?
3.15% plus 30 cents per successful transaction, the same on every plan. It covers card processing and settles into your own Stripe account. Nothing is charged on a payment that fails, and a session settled in cash or by transfer costs nothing at all.
Can I change plan later?
Up or down, whenever. Moving up takes effect at once and is prorated. Moving down applies at the end of the period you have already paid for, so you keep what you bought.
What if I have more coaches than seats?
You are told before the seat is created rather than after, and nobody is ever removed from a practice because of billing. Studio has no seat limit.
Is there a contract?
No. Monthly is monthly and yearly is a year. Cancel and you keep access until the period ends, then the practice drops to Starter rather than closing.
What happens to my data if I leave?
You export it and we delete ours. Your clients, their answers, your notes and your payment records are yours, and getting them out is not a support ticket.

None of these were forced on us. Each one is a place where the easy answer and the right answer pointed different ways.
A trend stays blank until it means something
Three check-ins is not a trend. A chart that pretends otherwise is worse than no chart, so the panel says nothing until it can say something true.
A testimonial needs the client's consent
A coach cannot publish a client's words on their own say-so. The client writes it, or agrees to it, and until then it is not shown anywhere.
Praise from a session is a request, not a quote
Something said in a private hour is not permission to put it on a website. Turning it into a testimonial asks the person who said it.
Completion is observed, not declared
Whether a session happened is worked out from who joined the call. There is no button to remember, and no incentive to press one.
A held slot expires
Fifteen minutes while somebody pays, then it goes back on sale. Long enough for a card, short enough that an abandoned checkout costs the next person nothing.
An invoice number never changes
Numbers are assigned once and written down. Recording an old cash payment must not renumber every invoice a client already has.

There will be, when coaches have used Uploop long enough to mean one. Inventing them would be an odd way to open a relationship with somebody whose whole job is noticing when people are not being straight with them.

What actually goes wrong

Chasing a form, rebuilding where somebody got to, writing the invoice, answering the enquiry. A full roster and you are still working Sunday evening to be ready for Monday.

Twelve clients is fine. Around twenty-five is where you start a session by asking what you talked about last time, and you both feel it happen.
Growth eats the thing you sell
More clients means more admin, which means less attention per client, which is the only thing anybody was paying for. The practice caps itself long before your diary is full.

Section 01
Who can use Uploop
You must be at least 18 and able to enter a contract. Uploop is sold to professionals for use in their practice, so unlike our consumer app it is a business tool and the account belongs to a business rather than to a private individual.
You are responsible for everything done under your account, including by anybody you invite into your practice. Keep your credentials to yourself, and remove seats when people leave.

What Uploop is
Uploop is software that helps a coaching practice run: a roster of clients, a calendar and public booking page, programmes of sessions with assignments and check-ins attached, automatic session summaries and briefs, intake forms, invoices and payment collection.
Some of those features use machine learning to draft, summarise and highlight. Everything drafted is a draft. You decide what is sent, what is recorded and what is said in the room.
Section 03
What Uploop is not
This is the section to read twice. Uploop is not coaching, therapy, counselling, psychotherapy, medical or mental health care, legal advice or financial advice. It does not supervise you, accredit you, or make you competent.
Nothing Uploop produces is a clinical assessment. The summaries, trends and briefs are conveniences built from what you and your clients typed. They are not diagnoses and must not be presented to anybody as though they were.
Uploop is not an emergency service. If a client is at risk, act as your professional obligations require. Do not rely on software to notice, escalate or respond.
Section 04
Your account and your practice
You choose an email and a password, and you may invite colleagues as seats on your practice. Practice owners can see the practice's clients, sessions and money. Seats see what the owner grants them.
You are responsible for the lawful basis on which you hold client information, for the promises you have made to your clients, and for any professional body whose rules you work under.
Section 05
Your clients
Your clients are your clients. We will not market to them, will not introduce them to another coach, and will not use their information for anything except providing Uploop to you.
You are responsible for telling your clients what you use Uploop for, and for having whatever permission your jurisdiction and your profession require before you put their information into it.
Clients get their own login to the client app, where they answer check-ins, do assignments and join sessions. What a client writes there is written for you, and we treat it as yours to hold and theirs to withdraw.

You may not use Uploop to harass anybody, to hold information about people who have not agreed to be your clients, to build a competing product, to reverse engineer the service, to resell access, or for anything unlawful.
You may not present machine-drafted text as a clinical opinion, and you may not use Uploop to make automated decisions about a person that carry legal or similarly significant effects.
Section 07
Money, and what we charge
A subscription is billed monthly or yearly in advance and renews until you cancel. Cancelling stops the next renewal; it does not refund the period you are in, though we will refund a period you have not used if you ask and the circumstances are reasonable.
Card payments from your clients settle into your own connected Stripe account. Processing costs 3.15% plus 30 cents per successful transaction. There is no commission on top of that, no rate that rises with your prices, and nothing at all on money you take another way.
Refunds to your clients are yours to give. Processing fees on a refunded payment are not returned to us either.
Section 08
The material you put in
You keep ownership of everything you and your clients create in Uploop: notes, programmes, forms, summaries, page copy and records. You give us the licence we need to store it, display it back to you, and process it to run the features you have switched on.
We do not use your content, or your clients' content, to train machine learning models, and our providers are contractually barred from doing so on our behalf.
Section 09
Availability and support
We aim to keep Uploop running and will tell you when we cannot. We do not promise uninterrupted service, and we may take it down for maintenance. Nothing here is a service level agreement unless we have signed one with you separately.
Support is by email. We try to answer within two business days.
Section 10
Disclaimers
Uploop is provided as is and as available. We do not warrant that it will be uninterrupted, error free, or that anything it drafts, summarises or predicts will be accurate. Where the law requires a minimum warranty we give that minimum and no more.
Section 11
Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profit, lost clients or lost data. Our total liability is capped at the greater of what you paid us in the twelve months before the claim, or one hundred dollars.
This cap does not apply to our own willful misconduct or gross negligence, or to anything the law says cannot be limited.
Section 12
Indemnity
You will cover us against claims arising from your breach of these terms, your professional conduct, the promises you made to your clients, and any information you put into Uploop that you had no right to hold.
Section 13
Ending it
You may cancel and delete your practice at any time from settings. We may suspend or end an account that breaches these terms, that we are required to close, or that is being used to harm somebody.
You can export your clients, sessions and invoices before you go. After deletion we remove your data within thirty days, except records we are required to keep for tax and dispute purposes.
Section 14
Disputes
Write to us first. If a dispute is not resolved within thirty days it is settled by binding arbitration before the American Arbitration Association, individually rather than as part of a class. You may opt out of arbitration by writing to legal@tryaccordial.com within thirty days of first accepting these terms.
These terms are governed by the law of the State of New Jersey.
Section 15
Changes
We may change these terms. Material changes are announced in the product at least thirty days before they take effect, and recorded in a public changelog. Continuing to use Uploop after that is acceptance.

Privacy Policy
This policy covers Uploop, the practice software for coaches operated by Accordial Tech LLC. The Accordial app has its own policy, and a very different one, because that product is anonymous by design and this one is not.

The short version
- Uploop holds real names. It has to: it is a client roster, a calendar and an invoice book.
- Your clients' information is yours. We process it to run Uploop for you and for nothing else.
- We never sell data, never run advertising pixels, and never train models on your content or your clients' content.
- You can export everything and delete everything, from inside the product, without asking us.
A summary is not the agreement. The sections below are.
Section 01
Who this covers
Coaches and practices using Uploop, people they invite as seats, and clients using the Uploop client app or booking through a practice page. It also covers visitors to this website.
It does not cover what a coach does with information after exporting it, or third party services you connect such as Google Calendar, Outlook or Stripe.
Section 02
The two roles we play
For your own account we are the controller: your name, email, practice details and billing state are ours to explain and account for.
For your clients' information we are the processor and you are the controller. You decide what to collect and why. We hold it, process it on your instructions, and hand it back or delete it when you say.
Section 03
What we collect
About you: name, email, password hash, practice name and branding, plan and billing state, timezone, and how you use the product.
About your clients, on your instruction: name, email, phone if you add it, intake answers, session records and summaries, assignments and check-in answers, booking and payment records.
Automatically: IP address, device and browser, pages visited, and error reports. We keep this to run and secure the service.
We do not collect government identifiers, health insurance information, or payment card numbers. Card details go to Stripe and never touch our systems.
Section 04
What we do with it
We run the product: show your roster, send your forms, hold your calendar, produce your briefs, take your payments, and email the people you tell us to email.
We use aggregate, non-identifying usage information to understand what is worth building. We do not build profiles of your clients for our own purposes, and we do not sell anything to anybody.
Section 05
Machine learning
Session summaries, briefs and drafted programmes are produced by machine learning models run by our providers. Content sent for that purpose is processed under contracts that forbid retention beyond the request and forbid training on it.
Model output can be wrong. Everything is presented to you as a draft, and you are the professional who decides what is true.
Section 06
Who we share it with
Only the vendors it takes to run the service: our cloud host, Stripe for payments, our email provider for the messages you send, our video provider for sessions, our model providers for the drafting features, and an error reporting service.
Each is bound to use the information only to provide their service to us. We do not share with advertisers or data brokers, and there are none of either in this product.
Section 07
Cookies and tracking
This site uses no advertising pixels, no session replay, and no cross site identifiers. The product uses the cookies it needs to keep you signed in and a first party analytics record of feature usage that does not fingerprint you.
The client app carries no advertising SDKs.
Section 08
Where it lives, and for how long
Data is held on servers in the United States. We keep your account information while your practice is open. When you delete a practice we remove its data within thirty days, apart from invoices and payment records, which we keep for seven years because tax and dispute rules require it.
Error reports are purged after ninety days. Backups roll off within thirty five days.
Section 09
Your rights, and your clients' rights
You can export and delete from inside the product at any time. If a client asks you to correct or erase their record, do it in Uploop and it is done; if you need our help, write to privacy@tryaccordial.com.
Depending on where you live you may have rights of access, correction, deletion, portability, and objection under the GDPR, the UK GDPR, the CCPA and CPRA, and other state laws. We honour them, and we do not charge for them or treat you differently for exercising them.
We respond to rights requests within thirty days.
Section 10
Children
Uploop is not for children. Do not create client records for anybody under 16 without the consent their jurisdiction requires, and do not use the client app with anybody under 13. Tell us if you believe we hold a child's information and we will remove it.
Section 11
Security
Traffic is encrypted in transit and data is encrypted at rest. Access to production is limited to the people who need it and logged. We will tell affected practices without undue delay if a breach puts their information at risk.

Section 12
Legal requests
If we are compelled by valid legal process we will comply, and where we are allowed to tell you, we will. We will not hand over a practice's client records on an informal request.
Section 13
Changes
Material changes are announced in the product at least thirty days ahead and recorded in a public changelog. You can export and delete before they take effect.
Section 14
What this policy is not
It cannot govern what your clients do with their own devices, what a connected calendar provider knows once you connect it, or what Stripe is required to disclose under its own obligations.
It is not a promise that machine learning is accurate, and it is not a substitute for the promises you make your clients yourself.

End User Licence Agreement
This agreement covers the Uploop client app, the mobile application a coach's clients use for check-ins, assignments, reminders and joining sessions. It is between you and Accordial Tech LLC, not Apple or Google.

Section 01
Acceptance and the parties
By downloading or using the Uploop client app you accept this agreement. It is between you and Accordial Tech LLC. Apple and Google are not parties, are not responsible for the app, and have no obligation to support it.
Where you obtained the app through Apple, Apple's Media Services Terms and Conditions also apply, and where they conflict with this agreement on matters between you and Apple, theirs govern.
Section 02
The licence we grant
A personal, limited, non exclusive, non transferable, revocable licence to install and use the app on devices you own or control, for the purpose of working with a coach who uses Uploop.
You may not sublicense it, share your account, or make the app available over a network to devices that are not yours.
Section 03
What you may not do
Copy, modify, translate, reverse engineer, decompile or disassemble the app, except where the law says you may.
Remove or obscure any notice of ownership, use the app to build a competing product, use it to harass anybody, or use it for anything unlawful.
Section 04
Who can use it
You must be at least 18, or the age of majority where you live, and able to enter a contract. If a coach works with you as a minor, that arrangement is between you, your guardian and the coach, and it must satisfy the law where you all are.
Section 05
Your account and your coach
Your coach invites you and holds your client record. They can see your check ins, your assignments, your bookings and your payments to them, because that is the point of the app.
We hold that information on their behalf. If you want it corrected or removed, ask your coach first; you may also write to privacy@tryaccordial.com and we will help.
If you stop working with a coach, ask them to close your record. Deleting the app does not delete it.
Section 06
The machine learning features
Some things you see are drafted by machine learning: prompts, summaries, and reminders. They are conveniences, not advice, and they are not always right.
Your content is not used to train models.
Section 07
What the app is not
It is not therapy, counselling, psychotherapy, medical or mental health care, and it is not a substitute for any of them. Your coach is a coach, and coaching is not a regulated clinical profession in most places.
It is not an emergency service. If you are in crisis, contact your local emergency number or a crisis line. In the United States you can call or text 988.
Section 08
Payments
Where you pay your coach through the app, the payment is to your coach and settles into their account. Refunds are theirs to give under their own policy.
Where any purchase is made through Apple's In App Purchase, Apple handles the billing and Apple's refund policy applies.
Section 09
External services
The app may link to your coach's page, a video session, or a resource they have shared. We are not responsible for those services, their content or their availability.
Section 10
Ownership
We own the app, its design and its trademarks. You own what you write in it. Nothing here transfers ownership of either.
Section 11
Maintenance, support and warranty
We are solely responsible for maintaining and supporting the app. Apple has no obligation to do so.
The app is provided as is and as available, with all faults and without warranty of any kind, including merchantability and fitness for a particular purpose, to the fullest extent the law allows.
If the app fails to conform to any applicable warranty and you obtained it through Apple, you may notify Apple, and Apple may refund the purchase price. Beyond that refund Apple has no other warranty obligation.
Section 12
Limitation of liability
To the extent the law allows, our total liability to you under this agreement is capped at fifty dollars, and we are not liable for indirect or consequential loss. Nothing here limits liability for personal injury caused by our negligence where the law does not allow that limit.
Section 13
Claims, and Apple's role
We, not Apple, are responsible for addressing any claim that the app fails to conform to legal requirements, or any claim under product liability, consumer protection or similar law.
We, not Apple, are responsible for investigating and defending any third party claim that the app infringes intellectual property rights.
Apple and its subsidiaries are third party beneficiaries of this agreement, and on your acceptance Apple has the right to enforce it against you.
Section 14
Export and government users
You may not use the app in a country subject to United States embargo, or if you are on a restricted party list, or for the development of weapons.
The app is a Commercial Item as that term is defined in 48 C.F.R. 2.101, and is licensed to United States Government end users with only those rights granted to all other end users.
Section 15
Governing law
This agreement is governed by the law of the State of New Jersey, except where a mandatory law where you live says otherwise. Disputes follow the process set out in the Uploop Terms of Service.
Section 16
Changes and contact
We may update this agreement, and will give notice in the app of material changes. Continuing to use the app is acceptance.
